By downloading, installing, or using Dictar ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Software. These Terms constitute a legally binding agreement between you and the creator of Dictar ("we", "us", or "our"). These Terms apply to all users of the Software.

Dictar is a desktop application for macOS and Windows that provides on-device speech-to-text transcription, text-to-speech, snippet expansion, and AI voice command processing. All audio processing occurs locally on your device using open-source AI models. No audio, text, or personal data is transmitted to our servers as part of the Software's core functionality.

Upon purchasing a valid license, we grant you a personal, non-exclusive, non-transferable, limited license to install and use Dictar on devices that you own or control, for your personal or internal business purposes. This license does not include the right to: • Copy, modify, or create derivative works of the Software • Distribute, sell, sublicense, or transfer the Software to any third party • Reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law • Use the Software to provide a hosted or managed service to third parties • Remove or alter any proprietary notices or labels on the Software

Dictar is available for a one-time payment of USD $10 ("License Fee"). The License Fee is processed by Dodo Payments, our third-party payment processor. We do not store your payment card details. Upon successful payment, you will receive a license key by email. You are responsible for keeping your license key secure and confidential. The License Fee does not include any future major versions of the Software unless explicitly stated. Minor updates and bug fixes within the same major version are provided at no additional charge.

We offer a 14-day refund from the date of purchase if the Software fails to function as described on our website and we are unable to resolve the issue. To request a refund, contact us at appformats@gmail.com within 14 days of your purchase with your order details and a description of the issue. Refunds are not available after 14 days from the date of purchase, or if you have violated these Terms.

The Software, including all copies, modifications, and derivative works, is the intellectual property of Dictar and is protected by copyright and other intellectual property laws. These Terms do not transfer any intellectual property rights to you. The open-source AI models used by Dictar (including Whisper, Parakeet, Qwen3, and Kokoro) are subject to their respective open-source licenses. Your use of the Software does not grant you any rights over those underlying models beyond what their licenses permit.

You may not use the Software to: • Violate any applicable law or regulation • Infringe the intellectual property, privacy, or other rights of any third party • Transcribe audio or generate content without the consent of the parties involved, where consent is required by law • Develop competing products or services by reverse engineering the Software • Attempt to circumvent or disable any license enforcement mechanisms

Dictar incorporates open-source AI models and libraries, each subject to their own licenses. A full list of third-party acknowledgements is available within the Software's settings under "Acknowledgements". Your use of the Software is subject to compliance with those third-party licenses where applicable to your use case. We are not responsible for any third-party content, websites, or services that may be accessed through the Software.

We may release updates, patches, or new versions of the Software from time to time. Such updates may be required for continued operation and may be installed automatically or manually. We reserve the right to modify, suspend, or discontinue any feature of the Software at any time without notice.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. We do not warrant that the Software will be error-free, uninterrupted, or free of defects. Transcription accuracy is dependent on your hardware, microphone quality, background noise, and the AI models used, and we make no guarantee of accuracy.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE (USD $10).

You agree to indemnify, defend, and hold harmless Dictar and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Software, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms or the Software shall first be attempted to be resolved through good-faith negotiation. You agree to contact us at appformats@gmail.com before initiating any formal legal proceedings.

These Terms remain in effect until terminated. Your rights under these Terms will automatically terminate if you fail to comply with any of the Terms. Upon termination, you must cease all use of the Software and delete all copies in your possession. Sections 6, 9, 10, 11, 12, and 13 survive termination.

We may update these Terms from time to time. When we do, we will update the "Effective Date" at the top of this page. Your continued use of the Software after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
